What are Securities

  • There are many choices that you can make when it is time to get started investing. Many will choose to go with a stock or a mutual fund, but all of these are types of securities. A security is going to be a fungible, negotiable financial instrument that is going to hold some value as money. It is going to represent an ownership in a publicly-traded corporation through stock, a creditor relationship with a corporation or government through a bond, or rights to ownership through options.

     

    Companies will be able to use securities as a way to raise capital in private and public markets. There are three options that you can choose when it comes to the securities that you would be able to choose. These three types include:

    # Equity: These will provide the holder with an ownership right.

    # Debt: This is going to be like a loan that will be repaid with a type of periodic payment

    # Hybrid: This one can be a combination of the equity and the debt and can be unique to work with.

     

    If the security is going to be sold on the public market, they will need to be regulated by the SEC. As a trader, you need to take a look at the market and make sure that the company is following the rules that they should and not causing issues along the way. If the company is not part of the SEC or seems to have trouble with some of those rules and regulations, then you should be wary of trading with them.

     

    The SEC is just one of the regulatory bodies that you can look to when choosing a security for your needs. for example, the FINRA, NFA, and the NASD are all options that are going to help regulate the securities. Since you are owning a part of the company, rather than a tangible product, you will need to use proper caution when you choose one to invest in. It is possible for these to go south and you may need to work with a lawyer who can help if you feel that your investment was not handled the right way.
